Today we speak about meetings.
Question:
What do we call the meetings that the directors of a company attend (partecipare a una riunione)?
What do we call the meetings that the members of a company attend?
What do we call the meetings that the statutory auditors (sindaci) of a company attend?
Answer:
The meeting that company directors attend is called the “Board of Directors meeting” (riunione del consiglio di amministrazione), but the most common term we use is simply the “Board meeting”. It may also be referred to as the “directors’ meeting”. Both executive directors, who are employees of a company, and nonexecutive directors, who are independent external directors, should attend a board meeting.
The meeting that members (shareholders) of a company attend is called either a “company meeting” or, more commonly, a “general meeting”. It is not referred to as a “members’ meeting” but may be referred to as a “shareholders’ meeting”.
There are two types of general meetings, namely the AGM and the EGM. You would be expected to know that AGM refers to Annual General Meeting while EGM refers to Extraordinary General Meeting. An AGM is required by law and must be held once a year. The AGM is a platform for a company to present its financial statements (bilancio) to its shareholders (members). An AGM may be attended by members, directors, and auditors of the company, or their appointed proxies (deleghe). All shareholders’ meetings called by a company other than its scheduled annual meeting are called EGMs.
When the statutory auditors of a company hold their own meeting it is called the “Board of Statutory Auditors meeting” (riunione del collegio sindacale).
